Resilient Path Consulting & Training – Terms and Conditions

1. General

These Terms and Conditions apply to all paid and free services, digital products, and content offered by Resilient Path Consulting & Training (“we”, “our”, “us”) through our website, https://rpct.odoo.com,or other platforms we use.

By purchasing, registering for, or using our services, you (“the customer”) agree to these Terms and Conditions.

The applicability of any other general terms and conditions is expressly excluded.

We may update these Terms periodically; the version effective at the time of purchase or registration applies.

2. Formation of agreement and access

An agreement is formed once your payment has been successfully processed or your participation is otherwise confirmed in writing.

Access to digital content or online courses is personal, non-transferable, and granted for the duration stated on the relevant course page or proposal. Login details must not be shared with third parties.

If you experience technical issues accessing digital content, we will make reasonable efforts to restore access as soon as possible.

3. Services and best-efforts clause

We provide online training, workshops, and consultancy focused on professional and organisational development.

We commit to performing our services to the best of our ability and with due care, but we do not guarantee specific outcomes or results.

Our advice and training are intended as professional guidance. Implementation decisions remain the responsibility of the client.

Customers are responsible for providing accurate information during registration and communication. We are not liable for delays, errors, or issues resulting from incorrect or incomplete information.

4. Payments and pricing

All prices are stated in euros (€) and are exclusive of VAT (BTW) unless explicitly stated otherwise.

Payments can be made securely by card, bank transfer, or via a payment link issued by Resilient Path Consulting & Training.

We currently use Stripe (for payment processing) and Odoo (for invoicing, hosting, and customer management).

Access to digital content or participation in live sessions is granted only after payment is received in full.

All prices and payments are in euros (€). Where a payment is made in another currency, conversion rates and transaction fees are the responsibility of the customer.

5. Right of withdrawal (for consumers)

By purchasing a digital course or accessing online materials, you expressly agree that delivery begins immediately after payment.

As a result, you waive your statutory right of withdrawal under Article 6:230p(g) of the Dutch Civil Code.

Once access has been provided, no right of cancellation or refund applies, except as outlined in our Refund and Cancellation Policy.

These consumer rights apply only where the customer is a natural person not acting in the course of a profession or business.

6. Refunds and cancellations

Refunds and cancellations follow our Refund and Cancellation Policy.

Any exceptions or discretionary refunds will be communicated in writing.

7. External service providers

We may engage trusted third-party providers (such as Odoo, Stripe, Google LLC) to deliver parts of our services.

While we take care in our selection, we are not liable for technical failures or service interruptions caused by these external parties.

You authorise us to accept their terms and liability limitations on your behalf where necessary for service delivery.

8. Intellectual property

All course materials, videos, documents, and resources provided are the intellectual property of Resilient Path Consulting & Training or its contributors.

These materials may not be shared, reproduced, resold, or distributed without prior written permission.

Unauthorised sharing or reproduction may result in termination of access without refund and may lead to legal action.

9. Force majeure

In the event of force majeure — including, but not limited to, illness, internet outages, platform failures, or other circumstances beyond our reasonable control — we may suspend or cancel services without liability.

Any amounts paid for undelivered digital content will be refunded.

10. Limitation of liability and expiry period

We make every effort to ensure high-quality and reliable services. However, we are not liable for indirect or consequential losses, technical failures beyond our control, or decisions made based on the use of our training or consultancy materials.

Our total liability shall not exceed the amount paid for the relevant service.

Any claim must be submitted in writing within one year after the event giving rise to the claim was or could reasonably have been discovered; otherwise, it will lapse.

11. Indemnity

You agree to indemnify and hold harmless Resilient Path Consulting & Training from any third-party claims, including reasonable legal costs, arising from your use of our materials, services, or website.

12. Data protection

We respect your privacy and process personal data in accordance with the General Data Protection Regulation (GDPR).

Information collected during registration or payment is used solely to deliver and manage our services.

We use Odoo for secure customer data management and Stripe for payment processing. Both comply with the EU–US Data Privacy Framework and applicable EU data protection standards.

For full details, please refer to our Privacy Policy. By using our services, you consent to our processing of personal data in accordance with that policy.

13. International use and compliance

Customers outside the EU are responsible for ensuring compliance with any local tax, import, or data-transfer regulations applicable to their purchase or use of our services.

Our services and invoices are issued from the Netherlands. Dutch VAT does not apply to services delivered outside the EU.

14. Governing law and jurisdiction

These Terms and Conditions are governed by the laws of the Netherlands.

Any disputes shall be submitted to the competent court in Amsterdam, the Netherlands, unless otherwise required by mandatory consumer protection laws.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
